The retained earnings of CHF 333,867,742 will be used as follows:
- Dividend of CHF 2.00 gross per registered share CHF 38,613,720
- The balance carried forward amounts to CHF 295,254,022
With the ex-dividend date of 8 April 2022, payment of the dividend will be accomplished free of bank charges on Tuesday, 12 April 2022.
The Annual General Meeting confirmed Urs Kaufmann as Chairman of the Board of Directors as well as all other present members of the Board of Directors in office. Monika Bütler was newly elected to the Nomination and Compensation Committee, where she will replace Urs Kaufmann and chair this body.
Ernst & Young AG, Zurich, was appointed as the company's auditors for the financial year 2022, and the law firm Bratschi Ltd., Zurich, as independent proxy up to and including the Annual General Meeting 2023. The shareholders approved all proposed compensations.
Based on Art. 8 of the Federal Act on the Legal Basis for Ordinances of the Federal Council on measures to combat the COVID-19 epidemic (COVID-19 Act), the Annual General Meeting was held without the physical participation of shareholders. They were able to cast their votes in writing or electronically by issuing a power of attorney to the independent proxy. The Annual General Meeting was held on the premises of HUBER+SUHNER AG at its registered office in Pfäffikon ZH in the presence of the independent proxy and the auditors.
