Annual General Meeting of HUBER+SUHNER: Shareholders approve dividend and elect Jörg Walther to the Board of Directors
Ad hoc announcement pursuant to Art. 53 LR
At the Annual General Meeting of Shareholders of HUBER+SUHNER AG on 6 April 2016 in Herisau the shareholders accepted all proposals of the Board of Directors. The retained earnings of CHF 235’612’367 will be used as follows:
- Dividend of CHF 1.00 gross per registered share CHF 19’451’846
- The balance carried forward amounts to CHF 216’160’521
With the ex-dividend date of 8 April 2016, payment of the dividend will be accomplished free of bank charges on Tuesday, 12 April 2015.
The 47th Annual General Meeting elected Jörg Walther to the Board of Directors. He succeeds
Dr. Peter Altorfer who decided not to stand for re-election anymore after 21 years in the Board of Directors. Christoph Fässler was elected his successor in the Nomination and Compensation Committee. All other previous members of the Board of Directors were confirmed in office.
PricewaterhouseCoopers AG was appointed as the company's auditors for the financial year 2016, and the law firm Schoch, Auer & Partner, St. Gallen as independent proxy up to and including the Annual General Meeting 2017. The shareholders approved all proposed compensations.
